Yup, Make a backup of the database and all the files, then simply replace the files with the upgrade.

Hmm, you might want to hold off till you can upgrade PHP.
But you should definitely be backing up the database!
If you don't have a backup strategy already, you might want to research that and implement it first.
I use automysqlbackup on my debian/Ubuntu servers and mysqldump to take a quick backup before changes.
